1. Agreement to Terms

By accessing or using Covalence Core (“Platform”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree, do not use the Platform.

2. Services Provided

Covalence Core provides a software platform that includes:

  • CRM and contact management

  • Marketing automation

  • Messaging (email, SMS, etc.)

  • Sales pipelines and workflows

We reserve the right to modify or discontinue features at any time.

3. Account Responsibilities

You agree to:

  • Provide accurate information

  • Maintain account security

  • Be responsible for all activity under your account

You are fully responsible for your users and sub-accounts.

4. Customer Data & Role of Parties

  • You are the data controller

  • Covalence Core is the data processor

You are solely responsible for:

  • Data collection practices

  • Consent management

  • Legal compliance

We do not control or verify your data usage.

5. Payments & Billing

  • Fees are billed on a recurring basis

  • All payments are non-refundable unless stated otherwise

  • Failure to pay may result in suspension or termination

6. Messaging & Compliance (CRITICAL)

If you use email, SMS, or automation tools:

You agree to comply with all applicable laws, including:

  • TCPA

  • CAN-SPAM

  • GDPR (if applicable)

You must:

  • Obtain proper consent

  • Honor opt-outs

  • Maintain compliance records

We are not responsible for your messaging practices.

7. Prohibited Uses

You may not use the platform to:

  • Send spam or unsolicited messages

  • Violate privacy laws

  • Engage in fraud or deceptive practices

  • Distribute harmful or illegal content

8. Suspension & Termination

We may suspend or terminate your account at any time if you:

  • Violate these Terms

  • Create legal risk

  • Engage in abusive or fraudulent behavior

No refunds will be issued in such cases.

9. Third-Party Services

The platform integrates with third-party providers (e.g., SMS, email, payments).

We are not responsible for:

  • Third-party outages

  • Pricing changes

  • Service limitations

10. Disclaimer of Warranties

The platform is provided “as is” and “as available.”

We do not guarantee:

  • Uninterrupted service

  • Specific results

  • Error-free performance

11. Limitation of Liability

To the maximum extent permitted by law:

Covalence Core shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits or data

  • Legal claims arising from your use of the platform

Your use is at your own risk.

12. Indemnification (VERY IMPORTANT)

You agree to defend, indemnify, and hold harmless Covalence Core from:

  • Any claims arising from your data

  • Your messaging practices

  • Your violation of laws or regulations

This is one of your strongest protections.

13. Governing Law

These Terms are governed by the laws of:

We may update these Terms at any time.

Continued use equals acceptance of updated Terms.

Acceptable Use Policy (AUP)

Purpose

This Acceptable Use Policy defines what is allowed and prohibited when using Covalence Core.

1. Prohibited Activities

You may NOT use the platform to:

Messaging Abuse

  • Send unsolicited SMS/email

  • Use purchased or scraped lists

  • Ignore opt-outs

Illegal Activity

  • Violate any law or regulation

  • Promote illegal products/services

Fraud & Deception

  • Mislead customers

  • Impersonate individuals or companies

  • Use fake offers or false claims

Harmful Content

  • Malware or phishing

  • Harassment or abuse

  • Hate or violent content

2. High-Risk Use Cases (Strict Enforcement)

These industries/actions are closely monitored:

  • Financial schemes

  • Health claims (supplements, peptides, etc.)

  • High-risk marketing funnels

You must ensure all claims are compliant and lawful.

3. Data Misuse

You may NOT:

  • Upload data without consent

  • Sell or misuse personal data

  • Share data unlawfully

4. Enforcement

We may:

  • Suspend or terminate accounts

  • Remove content

  • Report violations

No prior notice required.

5. Zero Tolerance Violations

Immediate termination for:

  • Spam campaigns

  • TCPA violations

  • Fraudulent activity

Data Processing Addendum (DPA)

1. Purpose

This DPA governs how Covalence Core processes personal data on behalf of Customers.

2. Roles

  • Customer = Data Controller

  • Covalence Core = Data Processor

3. Scope of Processing

We process data to:

  • Provide platform functionality

  • Store and manage customer data

  • Enable communications and automation

4. Customer Obligations

You agree to:

  • Obtain lawful consent

  • Provide required notices

  • Comply with applicable laws

You are solely responsible for your data.

5. Processor Obligations

We agree to:

  • Process data only per your instructions

  • Maintain security safeguards

  • Limit access to authorized personnel

6. Subprocessors

We may use third-party subprocessors, including:

  • Hosting providers

  • Messaging services

  • Payment processors

We ensure they meet reasonable security standards.

7. Data Security

We implement:

  • Encryption

  • Access controls

  • Secure infrastructure

8. Data Breach Notification

We will notify you of a confirmed breach affecting your data within a reasonable timeframe.

9. Data Subject Rights

You are responsible for handling:

  • Access requests

  • Deletion requests

  • Corrections

We will assist where required.

10. Data Retention & Deletion

Upon termination:

  • Data may be deleted after a reasonable period

  • You are responsible for exporting data before termination

11. International Transfers

Data may be processed in the United States or other jurisdictions.

12. Liability

Covalence Core is not liable for:

  • Customer misuse of data

  • Failure to obtain consent

  • Regulatory violations caused by Customer actions
